Membership Agreement

1. Introduction and Scope

This Membership Agreement sets out the commercial terms governing participation in the Halal Travel Network (HTN) as a member.

HTN operates as a global B2B membership network supporting businesses and professionals working within the halal-conscious travel market through education, trade engagement, and business development.

This Agreement applies to all members of HTN and forms part of the overall framework governing engagement with HTN.

This Agreement should be read alongside the HTN Terms of Use, Membership Code of Conduct, and Privacy Policy, which together set out the rules, standards, and conditions of participation in HTN.

By joining HTN as a member, you agree to comply with this Agreement and the related policies referenced above. Ongoing membership is conditional upon compliance with this Agreement and the related policies.

2. Nature of Membership

Membership of HTN represents participation in a structured professional network operating within the global travel sector, with a focus on halal-conscious travel.

Through membership, HTN provides access to education, training, trade engagement, industry visibility, and business development support. These are delivered through a combination of digital resources, events, networking, and ongoing industry activity.

Membership is designed to support long-term professional and commercial development. It provides access to opportunities, support, and engagement within the network, but does not guarantee specific commercial outcomes. Outcomes will vary depending on individual engagement, business readiness, and market conditions.

3. Membership Structure and Access

HTN offers different membership types, which may vary in scope, level of access, and level of support. Details of membership type and applicable terms will be confirmed at the point of joining or through a separate written agreement where relevant.

HTN currently offers Core and Premium membership types, which reflect different levels of access, engagement, and support within the network.

Membership provides access to HTN activities and services, which may include:

  • access to training and educational resources through the HTN Academy
  • participation in events, webinars, and industry activities
  • opportunities for networking and trade engagement
  • inclusion in HTN visibility and marketing initiatives
  • access to ongoing industry insights and development support

The specific features, level of access, and support available under each membership type will be confirmed at the point of joining or through a separate written agreement where relevant.

HTN may evolve its membership structure, services, and delivery over time to reflect the development of the network and wider market conditions.

Membership of HTN signifies participation in a professional network. It does not constitute certification, accreditation, or formal endorsement unless explicitly stated by HTN.

Members must not represent their membership in a way that implies approval, endorsement, or partnership status beyond what has been agreed.

4. Member Responsibilities

Members are expected to engage with HTN in a professional and constructive manner, consistent with the nature of the network.

Members are responsible for ensuring that all information they provide to HTN is accurate, up to date, and representative of their business, services, and capabilities.

Members are expected to use HTN channels, contacts, and opportunities appropriately, and not for unsolicited, misleading, or inappropriate commercial activity.

Members are expected to engage in good faith with HTN activities, including maintaining reasonable responsiveness where participation depends on timely communication.

Members must comply with the HTN Membership Code of Conduct, which forms part of this Agreement.

5. Fees and Payment Terms

Membership fees are payable as agreed at the point of joining or as set out in a separate written agreement where applicable.

Fees may be charged on a monthly, quarterly, or annual basis depending on the membership structure in place.

All fees must be paid in accordance with the agreed payment terms. Failure to make payment on time may result in suspension or restriction of access to HTN services and activities until payment is received.

Unless otherwise agreed in writing, membership fees are non-refundable.

HTN reserves the right to review and adjust membership fees over time. Any changes to fees will not affect the current billing period but may apply upon renewal.

6. Term, Renewal, and Cancellation

Membership will commence on the agreed start date and will continue for the agreed term.

Membership may renew automatically or by mutual agreement, depending on the membership arrangement in place at the time.

Members may cancel their membership by providing written notice (including email). Unless otherwise agreed in writing, a minimum notice period of two (2) months will apply.

Where a minimum term applies, membership cannot be cancelled before the end of that term, except where otherwise agreed in writing.

Cancellation will take effect at the end of the applicable billing period or agreed term, following the completion of the required notice period. Cancellation of membership does not entitle the member to any refund of fees already paid in respect of the current term, unless otherwise agreed in writing.

7. Changes to Membership

HTN may update or evolve its membership structure, services, and delivery from time to time to reflect the development of the network and wider market conditions.

Where changes materially affect active members, HTN will provide reasonable notice.

Such changes will not apply retrospectively to any period already paid for, but may apply to future billing periods or renewals.

8. Additional Services and Activities

Certain HTN activities, events, and opportunities are not included within standard membership and may require additional fees or separate arrangements.

Participation in such activities may be subject to additional terms, conditions, or agreements, depending on the nature of the activity. Participation is at the sole discretion of HTN and may be subject to availability or selection criteria where relevant.

Details of any additional fees, requirements, or applicable terms will be communicated in advance and agreed prior to participation.

9. Suspension and Termination

HTN reserves the right to suspend or terminate membership where there is:

  • non-payment of fees
  • breach of this Agreement
  • breach of the HTN Terms of Use or Membership Code of Conduct
  • misuse of HTN services, channels, or contacts
  • conduct that HTN’s reasonably considers to be detrimental to the network or its participants

Where appropriate, HTN may take reasonable steps to notify members of issues, seek clarification, and provide an opportunity to address or resolve concerns prior to suspension or termination.

The parties will use reasonable efforts to resolve any concerns or disputes arising in connection with membership through informal discussion before taking further action, where appropriate.

Suspension or termination may take effect immediately where the nature of the breach or conduct requires it.

10. Consequences of Termination

Upon termination of membership:

  • access to HTN services, platforms, and activities will cease
  • any listings, profiles, or visibility associated with the member may be removed
  • the member must cease use of the HTN name, brand, and any associated materials
  • any outstanding fees remain payable

Unless otherwise agreed in writing, no refunds will be provided in respect of any unused portion of membership following termination.

11. Limitation of Expectations

HTN provides access to a professional network, education, and industry engagement opportunities designed to support business development.

Membership provides access to services, resources, and opportunities, but does not in itself guarantee specific outcomes, including commercial results, partnerships, or revenue.

Members acknowledge that they do not expect any formal representation or expectation of specific outcomes when entering into this Agreement.

Members are responsible for how they engage with HTN and for the decisions and actions they take in connection with their participation.

12. Confidentiality

Members acknowledge that, through participation in HTN, they may gain access to confidential or commercially sensitive information relating to other members, partners, or HTN activities.

Members agree to treat such information with appropriate discretion and not to disclose, misuse, or exploit it directly or indirectly for purposes outside the intended context of HTN engagement.

This obligation does not apply to information that is already publicly available or independently obtained outside of HTN.

13. Force Majeure

HTN shall not be liable for any delay or failure to perform its obligations under this Agreement where such delay or failure results from circumstances beyond its reasonable control.

This includes, but is not limited to, acts of God, natural disasters, war, civil unrest, government action, travel disruption, or failure of third-party services or infrastructure.

Where such circumstances arise, HTN will take reasonable steps to minimise disruption and resume normal activities as soon as reasonably practicable.

14. Entire Agreement

This Agreement, together with the HTN Terms of Use, Membership Code of Conduct, and Privacy Policy, constitutes the entire agreement between the parties in relation to membership of HTN and supersedes any prior discussions, correspondence, or representations.

The member acknowledges that they have not relied on any statement, representation, or expectation that is not expressly set out in this Agreement or the referenced documents.

15. Reference to Governing Terms

This Membership Agreement should be read alongside the HTN Terms of Use, Membership Code of Conduct, and Privacy Policy, which together form the overall framework governing participation in HTN.

Matters relating to intellectual property, limitation of liability, data protection, and governing law are set out in the Terms of Use and applicable policies referenced above.
