This document sets out the Terms and Conditions for membership and participation in the Halal Travel Network (HTN). It should be read alongside the HTN Code of Conduct, Digital Conduct & Data Responsibility Policy, and Privacy Policy.

1) Introduction

Welcome to the Halal Travel Network (HTN). These Terms and Conditions (“Terms”) govern your access to and use of our website located at www.halaltravel.network and any services, platforms, events, digital products, or tools offered by us (collectively, the “Services”).

By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please refrain from using the Services.

These Terms apply to all users of the site, including (but not limited to) verified vendors, partners, event participants, training users, and visitors browsing the HTN platform. Specific additional terms may apply to certain services, such as exhibitor agreements, webinar participation, or custom collaborations — these will be clearly communicated at the point of engagement.

HTN reserves the right to update or amend these Terms at any time. Where changes are material, we will make reasonable efforts to notify you. Your continued use of the Services following any updates constitutes your acceptance of the revised Terms.

2) Definitions

In these Terms, the following terms have the meanings set out below. These definitions apply whether the terms are used in the singular or plural form.

HTN / Halal Travel Network / “we” / “our” / “us”: Refers to Halal Travel Network, a UK-based B2B platform connecting halal-conscious tourism suppliers with verified travel agents, media, distributors, and partners worldwide. HTN provides training, research, consultancy, event participation, and a global marketplace to support the growth of Muslim-friendly travel.

User: Any person or entity accessing or using the HTN website or Services, whether or not they are a registered member.

Member: Any individual, business, or organisation that has registered for an HTN membership and been approved by our team. Members gain access to benefits based on their membership tier, such as marketplace listings, training, event invitations, marketing support, and advisory tools.

Premium Member: A member subscribed to an enhanced membership tier with added benefits such as higher visibility, strategic support, tailored assessments, or co-branded marketing opportunities. These tiers are defined during the onboarding process or within bespoke agreements.

Marketplace: The section of the HTN website where members can list halal-conscious accommodations, tours, experiences, services, and products for visibility and booking by B2B buyers (such as travel agents, group organisers, and tour operators).

Marketplace Listing: Any product, service, package, or offering uploaded to the HTN Marketplace by a member. Members are responsible for ensuring their listings are accurate, halal-conscious, and updated regularly.

HTN Academy: The training and educational division of HTN. This includes live webinars, on-demand courses, market insights, and resources designed to help members serve Muslim travellers more effectively.

Assessment: An internal review conducted by HTN to evaluate whether a member’s offerings align with market expectations and halal-conscious standards. These may include feedback on presentation, pricing, privacy considerations, or cultural awareness. Certification is not part of this process.

Halal-Conscious: Refers to products, services, and business practices that align with the needs and preferences of Muslim travellers. This may include alcohol-free options, halal food, privacy for prayer or swimming, and general cultural sensitivity — without necessarily requiring formal halal certification.

Event Participation: Engagement in any HTN-organised event, including trade shows, webinars, press trips, roadshows, or networking mixers. Members participating in events agree to follow the relevant event guidelines and participation terms.

Commission / Platform Fee: Where applicable, HTN may retain a percentage of any transaction made through the platform. The rate is specified in the membership agreement and may vary based on tier or service type.

Content Submission: Any content shared by members for use on the HTN platform or marketing campaigns, such as articles, testimonials, images, or offers. By submitting such content, members grant HTN a non-exclusive, royalty-free right to use and display the content while retaining ownership.

Third-Party Services: Any services, tools, or platforms offered by external providers, including payment gateways, training partners, tech services, or featured collaborations. HTN is not liable for the performance or outcome of third-party services, and any disputes must be resolved directly with the provider.

Representation Services: Bespoke agreements where HTN represents a Member in specific markets, events, or campaigns, acting as an extension of their brand.

Talent Management: Services where HTN manages collaborations with influencers, speakers, or creators on behalf of Members.

PR & Marketing Services: Campaigns, press outreach, and promotional activities undertaken by HTN to raise visibility for Members or the Network.

HTN News: Media updates, blogs, and features published by HTN for industry awareness and Member visibility.

3) Acceptance of Terms

By accessing the Halal Travel Network website or using any of our Services, you agree to be bound by these Terms and Conditions. If you do not accept these Terms, you must refrain from using our website, attending our events, or engaging with our platform in any capacity.

These Terms apply to all users of the Services, including Members, Vendors, Partners, Event Participants, and unregistered visitors.

By submitting an application for membership, creating a listing, registering for an event, or engaging with any HTN initiative (whether online or in person), you confirm that:

• You have read and understood these Terms;
• You are legally eligible to enter into a binding agreement (either as an individual or on behalf of an organisation); and
• You agree to comply with these Terms, including any updated versions that may be posted on our site.

HTN may update these Terms from time to time. Where material changes are made, we will provide notice via email or through a website notification. Your continued use of the Services after such notice constitutes your acceptance of the revised Terms.

If you are using the Services on behalf of a company, organisation, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

4) Use of the Website and Services

4.1 Eligibility

Use of HTN’s Services is intended for individuals and businesses operating in the tourism, hospitality, travel trade, or related industries. You must be at least 18 years old and have the legal capacity to enter into agreements to access and use the Services. HTN reserves the right to decline access or membership at our sole discretion.

4.2 Permitted Use

You agree to use the website and Services only for lawful, professional purposes and in a manner that aligns with HTN’s mission and values. This includes:

• Accessing the Marketplace, Academy, Events, and other resources in accordance with your membership or participation tier;
• Engaging with other members, agents, and partners in a respectful, collaborative, and commercially appropriate manner;
• Using any marketing, training, or promotional materials provided by HTN strictly within the agreed terms of use.

Further details on permitted usage, branding rights, and digital platform access are outlined in individual membership agreements or event participation documents.

4.3 Prohibited Conduct

You must not use the Services to:

• Post, upload, or share any content that is unlawful, misleading, defamatory, discriminatory, or offensive;
• Misrepresent your products, services, or credentials, or claim HTN endorsement where none has been given;
• Upload or list any services or products you are not authorised to promote, resell, or deliver;
• Infringe upon the intellectual property or privacy rights of HTN, its members, or any third party;
• Impersonate HTN or its team, or mislead users about your relationship with the platform;
• Attempt to bypass security features, access confidential dashboards or data, or disrupt the functionality of the site or any event.

HTN may suspend or terminate access without notice if we determine that a user’s conduct violates these Terms, undermines the platform’s integrity, or causes reputational harm.

Members are expected to engage respectfully on digital platforms, including WhatsApp groups, webinars, and HTN social channels. Harassment, discrimination, or aggressive self-promotion is prohibited.

4.4 Account Access and Responsibility

If you are issued login credentials for your membership dashboard or event access, you are responsible for keeping this information confidential. You must not share your account with others or allow unauthorised access. You agree to notify HTN immediately if you suspect any breach or misuse of your account.

5) Membership and Access

5.1 Membership Tiers

HTN offers several membership tiers designed to support businesses at different stages of readiness and engagement within the halal-conscious travel market. These may include Core Membership, Premium Membership, or bespoke Representation Packages.

Each tier offers different levels of access to services such as:

• Marketplace listings
• Training and Academy content
• B2B events and roadshows
• Marketing, PR, and media support
• Strategic reviews, assessments, and consultations
• Representation or talent management services (where agreed)
• Partner dashboards or reporting tools

A full breakdown of current tiers and inclusions is available on request or during onboarding. HTN reserves the right to update tier structures and benefits as part of its service evolution, with reasonable notice provided to active members.

5.2 Application and Approval

All membership applications are subject to review by HTN. We assess alignment with our values, sector relevance, and market readiness. Approval is at HTN’s sole discretion, and we may request additional information to complete the process.

HTN retains the right to decline, suspend, or revoke membership where there is a breach of these Terms or where conduct is deemed inconsistent with the Network’s mission or standards.

5.3 Access to Member-Only Services

Approved Members will receive login credentials and onboarding guidance. Access to member-only areas such as the listing portal, webinars, or download libraries is contingent upon:

• A valid, active membership
• Compliance with HTN’s Terms and policies
• Timely payment of any applicable fees

Access may be restricted, paused, or revoked for overdue payments, inactivity, or breach of contract.

5.4 Use of HTN Name and Brand

Members may refer to their participation in the Network using phrasing approved by HTN (e.g. “HTN Member” or “Listed on the HTN Marketplace”). Use of the HTN logo, co-branding, or public representation (e.g. “HTN Partner” or “HTN Recommended”) must be agreed in writing and used only in accordance with provided guidelines.

HTN reserves the right to request removal of any branding or claims that misrepresent affiliation or level of involvement.

5.5 Member Responsibilities

By becoming a Member, you agree to:

• Keep your contact and business details up to date and respond to HTN communications promptly.
• Maintain halal-conscious and culturally respectful standards across all listings, marketing, and operations.
• Engage courteously and constructively with other Members, partners, and collaborators in all HTN spaces (including digital forums and events).
• Protect the confidentiality of any data or materials shared through HTN.
• Abide by all relevant policies — including the HTN Code of Conduct, Digital Conduct & Data Responsibility Policy, Event Participation Guidelines, and Privacy Policy.
• Conduct yourself and your business in a manner that upholds the reputation of HTN and the wider halal-conscious travel sector.

Failure to uphold these responsibilities may result in suspension or termination of membership, in line with Section 15.

5.6 Equality and Inclusion

HTN is a diverse professional community.

Members must ensure that no staff, clients, or collaborators experience discrimination or harassment on the basis of race, ethnicity, religion, gender, age, disability, nationality, or any other protected characteristic.

Respect for diversity, cultural sensitivity, and equitable opportunity are central to the Network’s values.

5.7 Non-Solicitation and Fair Competition

To preserve trust within the Network:

• Members must not directly solicit another Member’s clients or staff, or use event or webinar contact lists for unsolicited mass marketing.
• Healthy competition is encouraged; however, disparaging or undercutting other Members’ products, copying their listings, or misusing shared data is prohibited.
• Collaborative partnerships arranged through HTN should be conducted transparently and with mutual consent.

6) Marketplace Use

6.1 Overview

The HTN Marketplace is a business-to-business (B2B) platform that enables approved Members to showcase halal-conscious accommodations, tours, experiences, services, and destination offerings.

It exists to connect Members with global travel agents, media, group organisers, and buyers seeking Muslim-friendly travel products.

HTN primarily operates as a discovery and connection platform. In certain campaigns or agreements, HTN may facilitate booking enquiries or live-availability integrations. Any such arrangements will be covered by separate written terms.

6.2 Listing Responsibilities

When creating or updating a listing, Members must ensure that:

• All information provided is accurate, current, and complete;
• They are authorised to represent and sell the product or service listed;
• Descriptions, images, and pricing accurately reflect what will be delivered;
• Listings are kept up to date when rates, ownership, facilities, or inclusions change;
• Any claims of halal certification are verifiable and in-date;
• Supporting evidence (e.g. photos, licences, sustainability or ownership statements) can be provided upon request.

HTN may edit, hide, or remove listings that are inaccurate, misleading, duplicated, or inconsistent with Network standards. Repeat or serious breaches may result in membership suspension.

6.3 Halal-Conscious Positioning

Products listed must demonstrate consideration for Muslim traveller needs, including access to halal or permissible food, privacy and prayer provision, modest service environments, and avoidance of alcohol-centred marketing.

HTN does not require formal certification; however, honesty and clarity in presentation are essential. Misrepresentation of a property or service as halal-compliant may lead to removal from the platform.

6.4 Accuracy and Authenticity of Content

• All images, itineraries, and promotional copy must represent the real product or experience.
• AI-generated or stock visuals must only be used where they accurately depict the location or activity and do not mislead prospective buyers.
• Members are responsible for verifying that all text, photography, and media they upload are free from copyright infringement.
• Uploading plagiarised, copied, or altered content from other Members without written permission is considered a breach of this Agreement and of the HTN Code of Conduct.

6.5 Intellectual Property and Data Protection

• All material uploaded by a Member remains that Member’s intellectual property. By uploading to the Marketplace, Members grant HTN a non-exclusive, royalty-free licence to display and promote the content within HTN platforms and marketing materials.
• Members may not download, reuse, or redistribute another Member’s listings, itineraries, or media without express written consent.
• Marketplace data, including enquiry forms and buyer contacts, must not be exported, copied, or used for unrelated marketing purposes.
• Any misuse of the platform or its data may result in immediate suspension and, if required, legal action.

6.6 Enquiries and Transactions

• Unless otherwise agreed, all booking enquiries generated through a listing are handled directly by the Member.
• Members are responsible for ensuring prompt, professional responses and transparent terms with buyers.
• HTN is not liable for non-responses, cancellations, or disputes between Members and third parties.
• Where commissions or referral fees apply, these will be detailed in the relevant membership or campaign agreement.

6.7 Platform Integrity

Members must not engage in behaviour that compromises the security, fairness, or professional reputation of the Marketplace, including:

• Attempting to manipulate search results or visibility;
• Posting fake or duplicate listings;
• Engaging in spamming, phishing, or unauthorised data collection;
• Sharing login credentials or allowing unapproved third parties to access their dashboard.

HTN reserves the right to monitor usage and take corrective action where required.

7) Training, Advisory, and Knowledge Services

7.1 Overview

The Halal Travel Network (HTN) provides a range of learning, advisory, and insight-based services designed to strengthen Members’ understanding of halal-conscious travel and support their professional growth.

These services include:

• Access to on-demand and live training through the HTN Academy;
• Advisory assessments and consultations to enhance business readiness and product alignment;
• Access to research, insights, and case studies produced by HTN to inform market understanding.

Participation in these services forms part of your membership benefits or, where applicable, bespoke partnership agreements.

7.2 Member Engagement and Responsibilities

Members are encouraged to use these resources actively to improve their business performance and cultural competency.

In doing so, Members agree to:

• Engage respectfully with HTN trainers, mentors, and fellow participants;
• Apply learning outcomes to strengthen their own business practices;
• Treat all advice, feedback, and insights as advisory guidance, not certification or endorsement;
• Provide accurate information when participating in assessments, consultations, or surveys;
• Maintain confidentiality around any unpublished HTN research, group discussions, or workshop material.

7.3 Use of Materials and Intellectual Property

All HTN training modules, research reports, and advisory resources remain the intellectual property of HTN.

They are provided solely for internal business use within the Member’s own organisation and must not be:

• Copied, recorded, resold, or republished externally;
• Used to create competing courses or toolkits;
• Distributed or presented publicly without HTN’s prior written consent.

Completion of HTN Academy sessions may result in digital certificates or acknowledgements of participation. These serve as recognition of learning — not formal halal certification.

7.4 Contribution to Research and Case Studies

HTN may invite Members to contribute to research, surveys, or case studies. Participation is voluntary, and contributions will be treated respectfully and in line with the Privacy Policy.

Unless otherwise agreed, any data or quotations used for publication will be anonymised.

By contributing, Members grant HTN permission to use aggregated findings, insights, or anonymised examples in reports, events, or public communications.

7.5 Confidentiality and Data Handling

Members must handle all shared learning materials, research data, and assessment outcomes responsibly.

This includes:

• Not disclosing confidential information shared during sessions or consultations;
• Protecting the privacy of fellow participants in group trainings;
• Ensuring that data collected through HTN projects is used ethically and lawfully.

7.6 Advisory and Assessment Limitations

HTN’s assessments, consultations, and advisory services are provided in good faith, based on information supplied by the Member. HTN is not responsible for the commercial outcome of any advice implemented. Members retain full responsibility for all business decisions, marketing, and operational practices arising from HTN’s guidance.

8) Events and Participation

8.1 Overview

HTN organises and co-hosts a range of professional events including trade-show pavilions, B2B roadshows, press and familiarisation trips, networking mixers, and training sessions. These activities are designed to connect Members with agents, distributors, tourism boards, and media partners, and to advance knowledge within halal-conscious travel.

Participation in events may form part of membership benefits or require separate registration and fees. Each event is subject to its own joining instructions or sponsorship terms, which supplement this Agreement.

8.2 Registration and Confirmation

• Event participation is confirmed only once payment (where applicable) has been received and an official confirmation issued by HTN.
• Places are often limited and will be allocated according to suitability, event focus, or order of registration.
• HTN reserves the right to decline participation where it believes the delegate or organisation does not align with event objectives or professional standards.

8.3 Event Guidelines

All participants must uphold the values outlined in the HTN Code of Conduct, ensuring that:

• Behaviour at events—both in-person and online—remains courteous, inclusive, and professional.
• Discrimination, harassment, intimidation, or any form of bullying is not tolerated.
• Differences of opinion are expressed respectfully and privately where appropriate.
• Members follow local customs, dress codes, and host-country laws while travelling on HTN activities.

HTN reserves the right to remove or decline future participation for anyone whose conduct breaches these expectations.

8.4 Health, Safety, and Wellbeing

• Participants must comply with all venue health-and-safety rules and the guidance of HTN staff or local partners.
• Any incident, accident, or welfare concern should be reported immediately to an HTN representative.
• HTN maintains a zero-tolerance policy towards alcohol consumption, substance misuse, or disorderly behaviour at any event bearing the HTN name or branding.
• Reasonable adjustments will be made, where possible, to support delegates with medical or accessibility needs.

8.5 Event Materials and Confidentiality

• Members may be asked to provide logos, biographies, or presentation content for event use. By submitting these, Members grant HTN permission to reproduce them for marketing and operational purposes.
• Unless otherwise agreed, content shared during private sessions, workshops, or roundtables must not be recorded or distributed.
• Proprietary or sensitive business information exchanged during events must be treated as confidential.

8.6 Media and Promotion

HTN may capture photographs, video, or written coverage at events for reporting and marketing purposes. By attending, participants consent to reasonable use of their image and contributions. Anyone wishing not to appear in published media should inform HTN in advance or at the time of registration.

8.7 Cancellations and Substitutions

For paid events, cancellations must be submitted in writing. Refund eligibility and substitution policies will be specified in each event’s joining terms.

HTN cannot reimburse travel, accommodation, or incidental expenses arising from cancellation or rescheduling.

8.8 Liability and Force Majeure

HTN will take all reasonable measures to deliver events as planned but is not liable for losses, delays, or costs caused by factors beyond its control—such as venue closure, adverse weather, government restrictions, or global events.

Participation in HTN events is at the delegate’s own risk. Members are encouraged to obtain suitable travel or event insurance where applicable.

8.9 Reporting and Safeguarding

HTN encourages participants to report any inappropriate behaviour, safety issues, or ethical concerns directly to the event lead or via info@halaltravel.network

Reports will be handled sensitively and in confidence, in line with HTN’s Code of Conduct and disciplinary procedures.

9) Pricing and Payments

9.1 Fees

HTN membership, events, campaigns, and additional services are subject to fees as outlined in membership agreements, event registration forms, or bespoke contracts. Platform commissions may also apply where transactions are processed through HTN systems.

9.2 Payment Terms

Unless otherwise agreed in writing:

• Membership fees are payable annually or monthly in advance.
• Event and campaign fees must be paid in full prior to participation.
• All fees are quoted exclusive of taxes, unless otherwise specified.

9.3 Refund Policy

Refunds are considered in line with the following principles:

• Membership Fees: Refund requests must be made within 14 days of payment, provided no member services have been accessed.
• Event Participation: Cancellations must usually be received at least 30 days before the event to be eligible for a refund. Specific event terms may apply.
• Training Access: Refunds are not available once training materials have been accessed.

Refunds will be issued to the original payment method within 30 days of approval. Requests outside these parameters will be reviewed on a case-by-case basis. Refund eligibility in cases of termination is addressed under Section 15 (Termination or Suspension).

9.4 Currency

Payments are typically invoiced in GBP (£), unless otherwise specified.

10) Content Ownership and Intellectual Property

10.1 HTN Materials

All content created, commissioned, or distributed by the Halal Travel Network — including website text, visuals, training materials, reports, event recordings, marketing collateral, and toolkits — remains the intellectual property of HTN.

Members and third parties may access these materials for personal or internal business use only. They must not be:

• Copied, recorded, republished, translated, or distributed externally without written consent;
• Used to develop or market competing products, training, or services;
• Modified or re-branded in any way that could misrepresent ownership or authorship.

HTN retains the right to withdraw permission for use at any time and to request removal of unauthorised reproductions.

10.2 Member-Generated Content

Members retain ownership of any content they upload or share through HTN platforms, including listings, imagery, itineraries, case studies, testimonials, and promotional copy.

By submitting such material, Members grant HTN a non-exclusive, royalty-free licence to use, reproduce, display, and distribute that content for the purposes of:

• Operating and promoting the HTN Marketplace and Academy;
• Featuring Member work within campaigns, reports, or social media;
• Highlighting collaborative projects or success stories.

This licence ends automatically upon membership termination, except where material has already been published.

10.3 Accuracy and Integrity of Uploaded Material

All content uploaded by Members must be accurate, lawful, and represent the real product or experience. AI-generated, stock, or illustrative images may only be used where they accurately reflect the location, activity, or facility being promoted. Misrepresentation or deceptive use of imagery or descriptions is prohibited and may lead to removal or suspension. Members are responsible for verifying copyright ownership of all assets they use and for obtaining written permission where required.

10.4 Protection of Other Members’ Work

Each Member’s content, itineraries, images, and documentation are protected by copyright and must not be downloaded, copied, reformatted, or reused without explicit written consent from the owner.

Taking, re-branding, or commercially exploiting another Member’s material — including itineraries, PDFs, or marketing assets — is considered a serious breach of the HTN Code of Conduct and these Terms. HTN may remove infringing material, suspend access to the Marketplace, or terminate membership where necessary.

10.5 Use of HTN Name and Branding

Members may refer to their affiliation using authorised phrases such as “HTN Member” or “Listed on the HTN Marketplace.” Any other use of HTN’s name, logo, or likeness — including “HTN Partner,” “HTN Certified,” or use in paid advertising — requires prior written approval and must follow HTN’s brand guidelines.

HTN reserves the right to request immediate removal of any unauthorised or misleading use of its branding.

10.6 Data and Platform Security

Access credentials to HTN systems are personal and must not be shared with others. Members must not attempt to extract, scrape, or download Marketplace data, contact lists, or analytics without consent. Any suspected data breach, unauthorised access, or misuse must be reported immediately to HTN. HTN reserves the right to audit or restrict access where misuse is suspected.

10.7 Breach and Remedies

In the event of an intellectual-property or data-misuse breach, HTN may:

• Remove or disable access to the offending material;
• Suspend or terminate the Member’s account;
• Recover reasonable costs incurred in investigation or enforcement;
• Pursue legal remedies where appropriate.

All actions will follow a fair process consistent with Section 15 (Termination or Suspension).

11) Sustainability & Code of Conduct

11.1 Commitment to Responsible Tourism

HTN promotes a model of tourism that is environmentally responsible, socially inclusive, and economically fair. Members are encouraged and expected to adopt these practices by:

• Minimising waste and carbon impact across operations and events;
• Supporting local communities, heritage projects, and small enterprises;
• Ensuring fair working conditions and ethical employment throughout their supply chains;
• Respecting wildlife and cultural environments in which they operate.

Sustainability should be understood as both environmental and social responsibility, including equitable participation of women, youth, and under-represented communities in tourism.

11.2 Ethical and Halal-Conscious Standards

HTN’s approach to halal-conscious tourism is founded on honesty, transparency, and cultural respect rather than certification. Members agree to:

• Offer halal or permissible food options where possible and consider privacy and prayer needs where relevant;
• Avoid misleading claims about halal compliance or religious endorsement;
• Present destinations and experiences respectfully, avoiding stereotypes or exploitative imagery;
• Operate in good faith with suppliers, staff, and travellers regardless of faith or background.

These principles apply across all listings, communications, and partnerships represented under HTN.

11.3 Equality, Diversity & Inclusion

HTN is committed to building an inclusive professional community. Members must:

• Uphold a zero-tolerance approach to discrimination, harassment, or bullying on the basis of race, religion, gender, disability, nationality, or any protected characteristic;
• Foster environments where diverse voices and perspectives are respected and heard;
• Promote equal opportunities within their own businesses and supply chains.

These expectations apply equally to digital interactions, events, and collaborations undertaken through HTN.

11.4 Adherence to HTN Policies

Members must comply with the following core governance documents, which form part of these Terms:

• The HTN Member Code of Conduct (behavioural and ethical standards);
• The Digital Conduct & Data Responsibility Policy (data, intellectual-property, and online ethics);
• The Event Participation Guidelines (safeguarding and professional conduct during events).

These documents are accessible via the HTN website and may be updated periodically. It is the Member’s responsibility to remain informed of current versions.

11.5 Accountability and Enforcement

Breaches of this Section or any linked policies may lead to:

• Written warnings and requests for corrective action;
• Suspension or removal of Marketplace listings or event access;
• Termination of membership in accordance with Section 15.

Serious cases involving harassment, misrepresentation, or data misuse may also be referred to appropriate authorities. HTN reserves the right to publicly disassociate from any Member whose actions conflict with its values of integrity, respect, and inclusivity.

12) Privacy and Data

12.1 Overview

HTN is committed to protecting the privacy and integrity of all data handled through its platforms, including the Marketplace, Academy, events, and communications. By using these Services, Members acknowledge that HTN processes limited business and personal data in accordance with UK data-protection law and the HTN Privacy Policy, which forms part of these Terms.

12.2 HTN as Data Controller

HTN acts as a data controller for information it collects directly — for example, membership details, event registrations, or newsletter subscriptions. This information is used solely for legitimate operational purposes such as account management, event coordination, invoicing, and communication of relevant updates.

HTN never sells or rents personal data to third parties. Where HTN engages external providers (e.g. payment gateways or event platforms), they operate under data-processing agreements consistent with UK GDPR standards.

12.3 Members as Independent Data Controllers

Members act as independent controllers for any data they obtain through HTN — for example, from event delegate lists, Marketplace enquiries, or networking interactions.

Members must:

• Use such data only for legitimate professional follow-up connected to HTN activity;
• Obtain consent before adding contacts to mailing lists or promotional campaigns;
• Keep that data secure and delete it when no longer required;
• Comply with all applicable data-protection laws in their jurisdiction.

HTN accepts no liability for misuse of data shared between Members.

12.4 Confidentiality and Shared Information

• Information exchanged during HTN events, trainings, or advisory sessions may include commercially sensitive content. Members agree to treat such information as confidential and not disclose it without permission.
• HTN expects the same respect for confidentiality across digital spaces (WhatsApp groups, webinars, or shared folders).
• Recording, forwarding, or publishing internal discussions or materials without consent is prohibited.

12.5 Data Security and Reporting

• Members must safeguard their login credentials and notify HTN immediately of any suspected breach or unauthorised access.
• HTN will take reasonable technical and organisational measures to protect all data stored within its systems.
• In the event of a verified data breach affecting Member information, HTN will notify affected parties as required by law.

Suspected misuse or breach of data responsibilities may result in suspension under Section 15 (Termination or Suspension) and referral under the Digital Conduct & Data Responsibility Policy..

13) Disclaimers, Liability & Indemnity

13.1 Nature of HTN Services

HTN operates a B2B platform and professional network. We are not a certifying authority, specialist booking agent, or guarantor of any Member’s products or services. Inclusion on the Marketplace, participation in events, or reference in HTN materials does not constitute endorsement or certification.

13.2 Third-Party Content and Transactions

Listings, offers, and presentations are created and managed by Members or third parties. HTN does not warrant their accuracy or performance, and any transactions or disputes are strictly between the relevant parties.

Where HTN provides Representation, Talent, or PR & Marketing Services, we will use reasonable care to deliver agreed activities but make no guarantee of specific outcomes such as media coverage, sales, or contracts. Members remain responsible for the accuracy of all materials they supply.

13.3 Limitation of Liability

To the fullest extent permitted by law:

• HTN provides its Services “as is,” without implied warranties.
• HTN is not liable for indirect or consequential losses, including loss of profit, data, or goodwill.
• Total liability is limited to the greater of £1,000 or the total fees paid by the Member in the 12 months before the claim arose.

Nothing in these Terms limits liability for death/personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded.

13.4 Member Indemnity

Members agree to indemnify HTN against any claim, cost, or loss arising from:

• Inaccurate or misleading listings or promotional material;
• Failure to deliver contracted products or services;
• Infringement of third-party intellectual-property rights; or
• Breach of these Terms or applicable laws.

HTN will defend Members against valid third-party claims that HTN-created materials (excluding Member content) infringe intellectual-property rights, provided the Member promptly notifies us and cooperates in any defence.

14) Dispute Resolution

14.1 Commitment to Resolution

HTN is committed to resolving disputes with Members promptly, fairly, and in good faith. Most concerns can be resolved quickly by contacting our team directly.

14.2 Process

Where an issue cannot be resolved informally, the following process applies:

• Written Complaint: The Member must submit a detailed written complaint, including the nature of the dispute and supporting documentation.
• Internal Review: HTN will review the complaint and respond within 14 working days with a proposed resolution.
• Mediation (if required): If the matter remains unresolved, both parties may agree to pursue mediation through an independent third party. Costs of mediation will be shared equally, unless otherwise agreed.

14.3 Legal Rights

This process does not restrict your statutory rights, nor does it prevent either party from seeking urgent legal remedies where appropriate. Concerns relating to member conduct, safeguarding, or breaches of the HTN Code of Conduct may be handled under HTN’s disciplinary process rather than this general dispute procedure.

All disputes and communications under this process will be handled confidentially and with respect for all parties involved.

15) Termination or Suspension

15.1 Termination by HTN

HTN may suspend or terminate a Member’s access to the Services immediately, with or without notice, if:

• Membership fees are overdue and not rectified within a reasonable period;
• The Member breaches these Terms or any event/membership agreement;
• The Member engages in conduct that is unlawful, unethical, or damaging to HTN’s reputation;
• The Member provides false, misleading, or incomplete information in listings or applications;
• The Member fails to meet basic halal-conscious or professional standards.

Members must disclose any conflict of interest that may influence collaboration, representation, or selection for HTN-led initiatives (e.g. competing with another member’s listing under HTN branding).

15.2 Termination by the Member

Members may terminate their membership by providing written notice to HTN. Refund eligibility will be assessed in line with Section 11 (Pricing and Payments).

15.3 Consequences of Termination

Upon termination:

• The Member’s access to Services, including the Marketplace, Academy, and events, will cease;
• All outstanding fees remain payable;
• Marketplace listings and content may be removed from the HTN platform;
• Rights to use HTN branding or affiliation will immediately end.
• Termination does not affect any rights or obligations accrued prior to the date of termination.

16) Governing Law & Jurisdiction

16.1 Governing Law

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

16.2 Jurisdiction

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from these Terms, subject to Section 16 (Dispute Resolution).

If you are based outside the UK, you remain responsible for ensuring that your use of the Services complies with local laws where applicable.

17) Changes to Terms

HTN may amend these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Material changes will be communicated via email to active Members or by prominent notice on the website.

Continued use of the Services after changes are made will constitute acceptance of the updated Terms. Members are encouraged to review these Terms periodically to remain informed of updates.
